## Job Purpose The Corporate Finance Officer is responsible for coordinating and supporting the assessment, development, execution, and closing of corporate finance, capital raising, investment, treasury, and structured finance opportunities introduced by business development personnel, referral partners, and relationship managers. The incumbent serves as the primary liaison between opportunity originators, clients, investors, transaction teams, Compliance, and other stakeholders. The role focuses on facilitating transactions, maintaining momentum on opportunities, coordinating due diligence and execution activities, and ensuring that opportunities are progressed in accordance with regulatory, compliance, and governance requirements. ## Key Responsibilities ### Deal Coordination and Opportunity Management - Manage opportunities referred by the designated PWB business-development contractor. - Review opportunity submissions and handover briefs to ensure required information is complete, documented, and ready for internal assessment. - Identify and coordinate the appropriate internal stakeholders required for assessment, approvals, execution, and escalation where needed. - Coordinate internal assessments and facilitate movement of opportunities through approval and execution processes. - Maintain deal pipelines, transaction trackers, management reporting, and records of approvals, handovers, escalations, and transaction activities. - Monitor transaction milestones and ensure timely completion of assigned actions. - Escalate issues, delays, risks, and resource requirements as appropriate. ### Transaction Support and Execution - Support the execution of corporate finance, investment, treasury, wealth management, and capital markets transactions. - Coordinate transaction workflows among clients, investors, advisors, legal counsel, Compliance, registrars, regulators, depositories, and internal stakeholders. - Facilitate due diligence activities, information requests, document collection, approval processes, and audit trail maintenance. - Support preparation, coordination, and review of approved transaction materials, investor presentations, proposals, engagement documentation, and closing packages. - Manage transaction timelines, execution checklists, closing logistics, and post-closing follow-up activities. - Liaise with relevant stakeholders in relation to instrument registration, issuance, settlement, and related documentation requirements. ### Investor and Client Support - Participate in meetings with clients, investors, and transaction stakeholders, and support investor engagement activities. - Respond to client and investor queries within delegated authority and applicable regulatory guidelines. - Support investor onboarding and transaction execution processes. - Maintain clear and timely communication with stakeholders throughout the transaction lifecycle, including matters relating to approvals, instrument issuance, registration, settlement, and closing requirements. ### Alliance Governance and Regulatory Boundaries - Operate under the formal supervision and authority of PWB. CSA may request or coordinate transaction activities only through the agreed alliance protocols and subject to priorities established or approved by the PWB Country Lead. - Preserve the distinction between CSA's agreed origination, sponsor-advisory, and structuring responsibilities and PWB's responsibility for regulated solicitation, investor onboarding, suitability, approvals, issuance, settlement, and execution. - Maintain confidentiality, information-sharing, conflicts-management, and records-management requirements applicable to each alliance mandate. - Escalate any ambiguity concerning authority, client ownership, investor communications, transaction terms, or the regulatory perimeter before proceeding. ### Deal Structuring Support Subject to applicable approvals and delegated authority, the incumbent may participate in discussions involving investment and securities-related transactions. - Support investor engagement activities and discussions relating to approved opportunities and transaction terms within delegated authority. - Review and communicate approved investment and transaction information. - Assist with transaction structuring, execution planning, onboarding, closing, and related stakeholder coordination. - Support opportunities referred by the Contractor or other business development resources through the appropriate approval, governance, and execution processes. ## Key Performance Indicators - Number of opportunities successfully progressed through the pipeline. - Timeliness of deal coordination and transaction execution. - Quality and accuracy of transaction documentation and reporting. - Turnaround time for due diligence and approval processes. - Stakeholder satisfaction and responsiveness. - Successful completion of assigned transactions and mandates. - Compliance with regulatory, governance, and approval requirements. - Effectiveness of support provided to business development and origination personnel. ## Education & Professional Requirements - **Bachelor's Degree** in Corporate Finance, Banking, Finance, Economics, Accounting, or a related quantitative field from a recognized tertiary institution. - **Securities Qualification**: Successful completion of a recognized regional or international Securities Course (e.g., the Jamaican Securities Course, Canadian Securities Course (CSC), or equivalent capital markets/securities certification) is required or must be attained within an agreed timeframe. - **Regulatory Eligibility**: Must fulfil the qualifying criteria to be registered as a registered representative/market actor with the Financial Services Commission (FSC) of Barbados. - **Professional Designations**: Progression toward or completion of professional certifications such as CFA (Chartered Financial Analyst) or ACCA/CA (Chartered Certified Accountant) is highly desirable but not required. - **Industry Experience**: Minimum of 2–4 years of experience in corporate finance, investment banking, treasury management, or a similar transaction-support role within a financial institution. - **Technical Knowledge**: Basic understanding of financial markets, corporate deal structuring, due diligence workflows, and local regulatory requirements in Barbados.
