Source: LinkedIn Bahamas Overview The Associate Counsel (Corporate) is responsible for supporting senior management with all corporate affairs and providing effective advice on company’s legal matters, particularly for publicly traded company implementation of policies, supports the Legal Division and is a liaison with external counsel. This position is directly involved in complex business transactions in negotiating critical contracts, submission of legal opinions and providing legal and regulatory advice. Accountabilities include financial transactions, telecoms regulatory matters, mergers and acquisitions, contract negotiations, risk management, third party agreements, vendor/supplier agreements, real estate, labor and employment matters. Responsibilities • Draft, review and negotiate internal/external contracts relative to the company’s business operations • Maintain and organize contract management system • Conduct extensive legal research and analysis on various industry, corporate, regulatory and legal matters • Draft legal opinions on relevant matter arising from company’s operations • Interface with relevant compliance and regulatory entities • Working in collaboration with VP of Legal and Regulatory to contribute to the annual plan for achieving the company's strategic goals with respect to the business and compliance matters • Develop and maintain collaborative working relationships with internal operation teams • Ensuring timely updates and reports for VP of Legal and Regulatory • Advise internal stakeholders of legal and regulatory requirements on various matters • Develop, draft and implement internal policies and business procedures to ensure legal and regulatory compliance • Prepare and compile documents needed for internal and external audit • Work in collaboration with internal and external counsel • Identify and mitigate legal risk • Assist the VP of Legal and Regulatory with executing all the company’s internal legal functions • Assist VP of Legal and Regulatory to ensure the company conducts its business in compliance with applicable Securities Exchange Commissions et al. laws and regulations • Advise on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities • Advise on regulatory aspects of the company’s obligations inclusive of adherence, report submissions, or matters that require regulatory body intervention • Review and respond to incoming correspondence relating to the operations of the company’s business which may have legal implications • Work closely and in collaboration with VP of Legal and Regulatory to create, conduct and host internal training to educate internal stakeholders on legal and regulatory requirements and guidelines • Work in collaboration with the Human Resources department and advise on labor conciliation, labor disputes or any other employee matters that may have legal impact on the company’s business • Work with internal stakeholders to ensure timely preparation of all reports required for submission to the regulatory bodies • Assist VP of Legal and Regulatory in conducting investigations of complex complaints relating to poor service, billing or audits • Assist and support Corporate Secretary in all corporate governance matters • Assist and Support Legal Division in all cross functional work as needed • Remain current on corporate financial and regulatory compliance requirements, statutes, regulations, litigation matters and judicial decisions that may impact the company's business • Performs all other legal and regulatory tasks as assigned by management Qualifications • Bachelor’s Degree in Law (LBB) • 2-3 years called to the Bahamas bar • Completion of pupillage and minimum 2 years practicing law • Outstanding interpersonal and communications skills • Excellent academic/law credentials • Strong understanding of the law • Strong research, analytical and writing skills • Ability to work independently provide sound judgement with limited supervision ----- Important: Before selecting the position, please disable popup blockers before you apply in WorkZoom.
